This document is provided in English and Arabic for convenience. In the event of any discrepancy between the two versions, the English version prevails and is legally binding.

1. Agreement

By accessing or using La Tabdhir (“the Platform”), you agree to be bound by these Terms of Service and all applicable laws and regulations of the United Arab Emirates. The Platform is owned and operated by Souhib TRABELSI FZE, a Free Zone Establishment registered with Sharjah Publishing City Free Zone, UAE (trade licence no. 4429733.01).

2. Service description

La Tabdhir is a marketplace platform connecting users with restaurants and grocery stores offering surplus food at discounted prices. The Platform facilitates reservations for food pickup and delivery, with payment processed in cash on collection / delivery or online via licensed UAE payment service providers.

3. User accounts

3.1 Registration

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 18 years old to use this Platform
• One account per person or business entity

3.2 Account types

• Customer accounts: for individual users purchasing surplus food
• Store accounts: for UAE-licensed restaurants and grocery stores (subscription required)

4. Booking and payment

4.1 Reservation system

Customers may pay in cash on collection / delivery or pay online via the Platform’s licensed payment service provider. Souhib TRABELSI FZE does not hold customer funds; online payments are routed directly via a UAE-licensed payment service provider, which settles the merchant portion to the store and the platform fee to Souhib TRABELSI FZE.

4.2 Cancellation policy

• Customers may cancel an unfulfilled booking at any time before its scheduled pickup window begins
• Two no-shows within a rolling 30-day period result in a temporary 30-day account restriction, which lifts automatically
• Stores reserve the right to cancel orders due to unavailability

4.3 Pricing and fees

Prices displayed are set by individual stores. Souhib TRABELSI FZE charges a subscription fee to stores listed on the Platform and a transaction commission on online customer orders. Full fee schedules are disclosed to stores at onboarding.

5. Food safety

5.1 Surplus food disclaimer

IMPORTANT: All food offered on this Platform is surplus food approaching its best-before date or end-of-day inventory. While stores are required to comply with UAE food safety regulations, you acknowledge and accept the nature of surplus food purchases.

5.2 Allergens

• Stores are responsible for providing accurate allergen information
• Customers with food allergies should verify ingredients before purchase
• The Platform is not liable for allergen-related incidents

5.3 Limitation of liability

To the maximum extent permitted by UAE law, Souhib TRABELSI FZE is not liable for:

• Food quality, safety, or freshness (store responsibility)
• Foodborne illness or allergic reactions
• Disputes between customers and stores
• Loss or damage arising from Platform use

6. Store responsibilities

6.1 Licensing and compliance

• Stores must hold and maintain a valid UAE trade licence and all required food permits (Food Safety, Municipality, and DHA approvals as applicable), kept current at all times. Souhib TRABELSI FZE may delist a store immediately if a licence lapses, expires, or is withdrawn.
• Stores must comply with all UAE food-safety, hygiene, storage, and allergen-labelling laws, and ensure that food offered is fit for human consumption at the time of pickup.
• Accurate representation of food items, allergen information, and pricing

6.2 Permitted and lawful products

• Stores may sell only food that is lawful to sell in the UAE — halal or otherwise permitted items only.
• No pork or pork products, no non-halal meat, no alcohol, and no tobacco
• No expired, recalled, or otherwise prohibited items
• Surprise-bag contents may vary, but must match the stated category and value and must not mislead customers about what they will receive.

6.3 Indemnity and delisting

• Stores indemnify and hold Souhib TRABELSI FZE harmless against any claims, losses, fines, or costs arising from their products, licensing, or breach of law or these Terms.
• Souhib TRABELSI FZE may immediately delist a store where it identifies a food-safety risk or a legal breach.
• Souhib TRABELSI FZE will give stores at least 30 days’ notice of any material change to these Terms or to applicable fees.
• Stores are responsible for charging, collecting, and remitting any VAT or other taxes due on their own sales.

6.4 Subscription obligations

• Active subscription required to receive bookings
• Payment of subscription fees via Stripe
• Subscription cancellation does not waive outstanding fees

7. Intellectual property

All content, trademarks, designs, logos and intellectual property on the Platform are owned by Souhib TRABELSI FZE or licensed to us. “La Tabdhir” and “لا تبذير” are trade names of Souhib TRABELSI FZE. Unauthorised use is prohibited.

8. Privacy and data

Your use of the Platform is governed by our Privacy Policy, which complies with UAE Personal Data Protection Law (Federal Decree-Law No. 45 of 2021).

9. Prohibited conduct

You may not:

• Use the Platform for illegal purposes
• Violate UAE laws or regulations
• Harass, abuse, or harm other users or stores
• Attempt to bypass security measures or access restrictions
• Submit false or misleading information
• Resell surplus food purchased through the Platform

10. Dispute resolution

10.1 Governing law

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved in the competent courts of the Emirate of Sharjah, United Arab Emirates.

10.2 Customer complaints

Complaints should be submitted to: support@latabdhir.ae. We acknowledge complaints within 3 business days and aim to resolve them within 7 business days, in accordance with UAE consumer-protection regulations and the Dubai DET Online Food Delivery Platform Guidelines.

11. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and require re-acceptance. Continued use after changes constitutes acceptance. For stores, we will give at least 30 days’ notice of any material change to these Terms or to applicable fees.

12. Termination

We may suspend or terminate your account for violation of these Terms, illegal activity, or as required by law. You may delete your account at any time from your profile settings.
